Managed Hosting Terms (B2B)

Convenience translation. The German version is authoritative.

1. Scope and provider

These terms apply to managed hosting contracts between Dominik Weber, SimplifyVision, Jöllenbecker Str. 143, 33613 Bielefeld, Germany (“SimplifyVision”) and businesses. Consumer orders are excluded. Customer terms apply only if expressly accepted.

2. Order and contract

The online order is a binding offer by the customer. The automatic receipt confirmation is not acceptance. The contract is formed by SimplifyVision’s express acceptance. SimplifyVision may reject technically unsuitable or security-critical applications or propose an adjusted offer.

3. Service

The order and service description define plan, resources, management and optional application care. Infrastructure is normally operated in a netcup data center in Nuremberg. Equivalent or better infrastructure may be used if security, location and agreed service remain intact.

4. Provisioning and cooperation

Provisioning normally occurs within one business day after acceptance, first payment and receipt of required access information. The customer supplies complete, lawful content, contacts, domains and technical information and reviews approvals promptly.

5. Prices and payment

Prices are net plus statutory VAT. Monthly fees are due in advance. With annual prepayment, only the server charge is reduced by 10%. Care, setup and review fees are not discounted. Care is always charged twelve months in advance. Invoices are due within 14 days.

6. Term and termination

Server-only operation on monthly billing runs indefinitely and may be terminated with 14 days’ notice to month-end. Annual server billing and every package with application care have a twelve-month minimum term. They renew for twelve months unless terminated four weeks before the end of term. Termination for cause remains available.

7. Operations and maintenance

SimplifyVision performs necessary security and maintenance work. Planned work is announced where possible; urgent security work may occur without notice. Availability is guaranteed only under an individually agreed SLA.

8. Backups

Daily encrypted backups with seven-day retention are included. Backups reduce risk but do not replace the customer’s archive or statutory retention concept. Restores caused by a SimplifyVision operational failure are included; other restores may be charged.

9. Permitted use

Illegal content, spam, malware, attacks, mining, public proxies and uses that endanger others are prohibited. SimplifyVision may temporarily suspend affected services in a concrete emergency and will inform the customer promptly.

10. Application care

WordPress, WooCommerce, TYPO3 and web-app care is an ongoing service with a twelve-month minimum term, not a one-off update or repair job. A paid initial review is required: WordPress €149, WooCommerce €299 and TYPO3 from €490 net; web apps are assessed and quoted individually. Only compatible security, patch and routine maintenance updates within the agreed system level are included. Version jumps with breaking changes, major upgrades, required migrations, repairs of existing defects, incompatible or abandoned extensions, content and custom code are quoted separately after technical review.

11. Defects and liability

SimplifyVision has unlimited liability for intent, gross negligence, injury to life, body or health and mandatory law. For slight negligence affecting essential duties, liability is limited to foreseeable typical loss. Liability is otherwise excluded where lawful.

12. Privacy

Where SimplifyVision acts as processor, the parties enter into the provided data processing agreement. netcup may be used as subprocessor for data-center and infrastructure services.

13. Final terms

German law applies, excluding the CISG. Where permitted, Bielefeld is the venue. The German text controls.
